These Terms & Conditions (“Terms”) govern your access to and use of the Zero Point One website and services, including the ASSIST and CONNECT platforms (collectively, the “Services”). By accessing our website or using our Services, you agree to be bound by these Terms.

If you do not agree, you may not access or use the Services.

1. Definitions

  • “Company,” “we,” “us,” “our” refers to Zero Point One.

  • “Customer” refers to any dealership, business, or individual using our Services.

  • “End User” refers to individuals interacting with automated communications on behalf of a Customer.

  • “Platform” refers to the ASSIST and CONNECT systems and related software.

2. Description of Services

Zero Point One provides automated communication technology designed to:

  • Respond to website, SMS, email, and social media inquiries

  • Answer inbound phone calls (CONNECT)

  • Qualify leads and capture customer intent

  • Schedule appointments

  • Route conversations to dealership staff

  • Manage follow-up and review requests

The Company does not guarantee specific sales results, revenue increases, or conversion rates.

3. Account Responsibilities

Customers agree to:

  • Provide accurate and complete business information

  • Maintain the security of login credentials

  • Use the Services only for lawful business purposes

  • Comply with all applicable laws, including consumer protection and telecommunication regulations

  • Ensure they have permission to contact End Users

You are responsible for all activity conducted under your account.

4. Acceptable Use

You may not use the Services to:

  • Send unlawful, harassing, deceptive, or fraudulent communications

  • Impersonate another person or organization

  • Violate spam, telemarketing, or Do Not Call laws

  • Transmit harmful code or attempt to breach security

  • Collect data without proper consent

We reserve the right to suspend or terminate accounts that violate these rules.

5. Data & Privacy

Use of the Services is subject to our Privacy Policy. Customers represent that they have the necessary rights and consents to process End User data through our Platform.

Zero Point One acts as a service provider processing data on behalf of Customers and is not responsible for the accuracy or legality of data provided by Customers.

6. Service Availability

We strive for continuous operation but do not guarantee:

  • Uninterrupted or error-free service

  • Immediate message delivery

  • Compatibility with all third-party systems

Maintenance, outages, or external platform changes may affect performance.

7. Fees & Payment

  • Services are billed according to the selected plan

  • Fees are non-refundable unless required by law

  • Late payments may result in suspension

  • Pricing may change with 30 days’ notice

Additional usage beyond plan limits may incur overage fees.

8. No Guarantees

The Platform is designed to improve lead response and communication efficiency. However:

  • We do not guarantee appointments, sales, or revenue

  • Response statistics are estimates, not promises

  • Customer results depend on dealership processes and staff performance

9. Intellectual Property

All software, branding, content, and technology provided by Zero Point One remain our exclusive property. Customers receive a limited, non-transferable license to use the Platform during their subscription.

You may not:

  • Reverse engineer the system

  • Copy or resell the technology

  • Remove proprietary notices

10. Limitation of Liability

To the fullest extent permitted by law:

  • Zero Point One is not liable for lost profits, missed leads, or business interruption

  • Our total liability is limited to the amount paid in the previous 3 months

  • We are not responsible for third-party platform failures (Facebook, SMS carriers, CRMs, etc.)

11. Indemnification

Customers agree to indemnify and hold Zero Point One harmless from claims arising from:

  • Customer-provided content

  • Unlawful communications

  • Violation of telemarketing or privacy laws

  • Misuse of the Platform

12. Term & Termination

  • Customers may cancel with required notice under their plan

  • We may terminate for nonpayment or misuse

  • Upon termination, access to the Platform will end

  • Outstanding fees remain due

13. Modifications

We may update these Terms at any time. Continued use of the Services constitutes acceptance of revised Terms.


14. Third-Party Services

The Platform may integrate with:

  • CRMs

  • SMS providers

  • Social media platforms

  • Phone carriers

We are not responsible for changes or outages in third-party systems.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes shall be resolved through:

  1. Good-faith negotiation

  2. Mediation if necessary

  3. Binding arbitration in New York, unless prohibited by law

17. Entire Agreement

These Terms, together with the Privacy Policy and any service order, constitute the entire agreement between the parties.
